Having recently ditched its takeover of Tiffany & Co. – citing looming US tariffs on French goods – LVMH has now done what many industry insiders long expected – clinching the deal at a lower price. The owner of Louis Vuitton and Bulgari will pay US$131.50 a share for the American jeweller, instead of the US$135 originally agreed. The discount is more modest than expected, slightly over 2%, which translates into savings of about US$400m, against a total deal value of about US$15.8 billion. The deal is expected to close in early 2021. Regardless of the price, Tiffany is an important addition to LVMH’s expansive stable of luxury brands. Although LVMH is the world’s largest biggest group by a large margin – its 2019 sales were €53.7 billion – it has a comparatively small presence in “hard” luxury, namely watches and jewellery. That segment now makes up less than 10% of its sales, but Tiffany will bulk it up significantly. In fact, the deal’s completion will mean that LVMH owns two of the three largest makers of branded jewellery – Tiffany and Bulgari.

Breaking News: LVMH Abandons Tiffany Takeover

Announced shortly before COVID-19 made the news, the US$16 billion deal to take over Tiffany & Co. has been scrapped by LVMH. The French luxury conglomerate, which counts Louis Vuitton, Dior, and Hublot amongst its brands, cited the looming tariffs on French goods announced by the United States. That led to instructions from the French government to delay the deal until January 2021, according to LVMH. Another reason cited by the French group was Tiffany’s request for extension of the closing date for the deal, from November to December. In response, Tiffany filed a lawsuit in the United States, seeking to force LVMH to complete the deal. Regardless of the motives behind the withdrawal, it appears to be a shrewd move by LVMH, which is controlled by Bernard Arnault, the richest man in France and widely regarded to be a hard-nosed dealmaker. In the 10 months since the deal has been announced, the world has changed drastically. The state of the the industry makes it likely that LVMH will be able to find cheaper avenues to cement its position as the world’s biggest luxury group. Tiffany shares fell almost 10% in pre-market trading on the news, while LVMH declined about 0.9% during the trading day in Paris.

Now almost two decades into its foray into watchmaking, Louis Vuitton has progressively introduced more complicated timepieces, an evolution that accelerated after its takeover of Geneva complications specialist La Fabrique du Temps (LFDT). Now Louis Vuitton’s signature complication, the Spin Time that tells the time with jumping cubes was LFDT’s earliest contributions to the trunk maker’s offerings. The latest variant of the complication is the Spin Time Air Japan Limited Edition. Drawing inspiration from the Japanese culture, the edition is made up of both a men’s and women’s model, each decorated with a motif that is distinctly Japanese. Initial thoughts With both versions having the same 42.5 mm Tambour case – tambour is French for drum and the very first case design of the brand – they are largish watches with great wrist presence, but they sit high on the wrist due to the case thickness (which is a consequence of the complication). But thanks to the relatively short lugs the case wears quite well. The case, however, is well proportioned – the large size suits the unique time display, with sufficient empty space to showcase the floating Spin Time complication. Reminiscent of the work of independent watchmakers like Urwerk and Ludovic Ballouard, the Spin Time display is inventive and different, but also easy to read, illustrating Louis Vuitton’s investment in making watches. By far the most important markets for luxury watches, China and Hong Kong together accounted for over 21% of Swiss watch exports in 2019 according to trade body Federation of the Swiss Watch Industry. Add to that Chinese travellers who buy watches overseas, and the fact is the luxury-watch business is dependent on Chinese demand. So the crucial question for the watch industry’s future – what’s happening in the Chinese watch market post-pandemic? On May 10, one of the trending topics on microblogging platform Sina Weibo was the US$30 billion plunge in the net worth of LVMH chief Bernard Arnault, mirroring the sharp drop in LVMH shares. But barely a week before – exactly a month after the end of Wuhan lockdown – there were nearly 100 customers queuing outside the Louis Vuitton boutique in Shanghai’s Plaza 66, all eager to shop before the brand’s price hike. The line outside Louis Vuitton reflected the rebounding demand for luxury goods in China as it emerged from a lockdown. “Macro Data Indicates a Surge in Consumption” – read the headline in the business-focused Workers’ Daily newspaper on May 16. The sentiment is backed up by the latest data from the National Bureau of Statistics of China published in mid June. Since Louis Vuitton acquired complications specialist La Fabrique du Temps (LFDT) in 2012, the trunk maker has made impressive strides in its haute horlogerie. The newly launched Tambour Curve Flying Tourbillon Poinçon de Genève encapsulates Louis Vuitton’s complicated watchmaking – confident, modern styling combined with a first-rate calibre. Granted, the Tambour Curve is pricey – US$250,000 pricey – but it is clearly catered for a specific consumer. That buyer wants an ultra-high end, contemporary, and slightly sporty watch, the type of watch found in the segment dominated by Richard Mille and Hublot. But Louis Vuitton has executed the Tambour Curve extremely well, creating an appealing – and importantly, cohesively designed – wristwatch that is more than just looks. The LV 108 movement inside was developed and made by LFDT, which is led by veteran watchmakers Michel Navas and Enrico Barbasini, both of whom I hold in very high regard. Louis Vuitton long-term strategy in developing its watchmaking – essentially do it well and expensively – is demonstrated by the quality of the Tambour Curve. Just as the inaugural LVMH Watch Week closed its doors – after Hublot, Bulgari and Zenith had presented their new timepieces – Louis Vuitton has something even bigger to boast about. The Parisian luxury brand, which is the biggest component of LVMH, has just acquired a stake in the world’s largest uncut diamond, which is also the second-biggest diamond ever. Discovered last April at the Karowe mine in Botswana, the Sewelô weighs 1,758 carats, or quite a bit larger than a tennis ball. Sewelo means “rare find” in Setswana, a language spoken in Southern Africa. It was the name chosen from some 22,000 entries that were submitted to a contest run by the mining firm that discovered the stone, Canadian outfit Lucara. Despite the moniker, the Sewelo is not unique – it is the second diamond over 1,000 carats mined by Karowe, after the 1,109 carat Lesedi de Rona found in 2015 and then sold for US$53 million to Graff, which cut it into in several smaller stones. After several weeks of negotiations, LVMH has sealed the deal to buy Tiffany & Co. in a US$16.2 billion, all-cash deal. Despite several years of listless growth and a declining share price – though its current management was in a midst of engineering a turnaround – Tiffany & Co. is the biggest acquisition ever in the luxury goods industry. The French luxury conglomerate, which owns Louis Vuitton and Christian Dior, is paying US$135 a share, about 35% above the last traded price before news of the takeover broke. With the acquisition of the storied American jeweller, LVMH strengthens its presence in the “hard” luxury business of jewellery and watches, a segment traditionally dominated by its Swiss rival Richemont, the owner of Cartier, Van Cleef & Arpels, and most recently, Buccellati. The addition of Tiffany’s to its 75-strong stable of brands, which includes watchmakers like Hublot and TAG Heuer, will also help LVMH grow its presence in China and the United States, where the jeweller’s baubles are popular. And the deal also means Tiffany’s well regarded chief executive, Alessandro Bogliolo, returns to LVMH, where he was once the chief operating officer at Bulgari.

An F.P. Journe Octa Calendrier caught my eye at Phillips’ upcoming Geneva auction, not because of the watch itself, but because of the name engraved on the movement: “John R. Asprey”. Now 82, John Rolls Asprey ran his family’s luxury emporium in its heyday, when it was a purveyor of watches, jewels, silverware, fine bookbinding and hunting accessories, with the Sultans of Brunei and Oman as its top clients. Unusually, Asprey was a prominent name in two diverse segments of watchmaking – what are now valuable vintage watches, think “Khanjar” Rolex watches, as well as modern-day independent watchmaking. How it came to be is the remarkable story of the rise and decline of a grand name in British luxury retail. A wondrous emporium Long before luxury brand names had coalesced into conglomerates like LVMH and Richemont, they were independent, family-owned enterprises that were small but globally known – at least by the right clientele. But now the world’s largest luxury brand is in on the action: Louis Vuitton just announced that it will build the trophy case for the Summoner’s Cup, the huge silver-plated chalice – weighing about 70lbs, or 32kg – that’s given to the winner of the League of Legends World Championship. This marks the first foray of a major luxury house into e-sports, and elevates the League of Legends championship to equal footing with global and historical sporting events like the soccer World Cup. League of Legends is one of the world’s biggest multiplayer online games, with last year’s championship event watched live by almost 100m people. It’s set in a fantasy world, with players controlling a character that, along with teammates, battles the opposing team. The annual championship sees 24 teams from around the world compete for US$1m in prize money – and the giant trophy in a Louis Vuitton trunk.
